The London office: Founded more than 25 years ago, the London Office offers expertise in all aspects of corporate work, including mergers and acquisitions, private equity, commercial real estate, finance, capital markets and taxation, as well as labour and employment, anti-trust, dispute resolution and international arbitration. Corporate: The London office has always been at the forefront of the cross-border mergers and acquisitions, financing and joint venture transactions, including acting for clients seeking to access the US and European capital markets. Its lawyers offer English law expertise in all aspects of private and public mergers and acquisitions and have extensive experience in the City Code governing public takeovers in the UK and the European Takeovers Directive. One of their partners was seconded for two years to the Panel on Takeovers and Mergers, the key regulatory body governing public company acquisitions in the UK. Private equity: The firm’s private equity work covers every type of investment and divestment activity, including early and later stage venture capital investments; MBOs, MBIs, IBOs and LBOs; re-engineered buy-outs; public to privates; exits by sale to trade/financial buyers, equity and debt financings, rights offerings and IPOs in the UK, elsewhere in Europe and in the US. The office also advises on the establishment of private equity and venture capital funds, including funds established in offshore jurisdictions. Real Estate: With transaction volume exceeding £10 billion over the past twelve months, the firm has become the law firm of choice for executing complex high-end real estate private equity transactions. The team specialises in all aspects of commercial real estate, including corporate and investment property acquisitions and disposals, financing (see also below) and joint ventures. Finance, real estate finance: The London office specialises in acquisitions finance, securitisation, real estate, senior and mezzanine debt, refinancing and restructurings, loan notes, funds and Shari’ah compliant financings. Much work in this area is cross-border, and Gibson Dunn has particular strengths in complex financing transactions involving a variety of European jurisdictions. Capital Markets: The London office has a wealth of experience in working with companies listed on the Official List of the London Stock Exchange, AIM, and on other European exchanges, as well as US public companies. Its lawyers provide US and UK securities law advice, acting for underwriters and European issuers in high yield and other debt securities offerings, as well as IPOs, block trades and rights offerings, including US public offerings, Rule 144A offerings, equity private placements and Regulation S offerings. Tax: The London office’s tax practice, which includes both UK and US tax expertise, advises UK, US and European clients on structuring transactions, such as complex cross border acquisitions, real estate investment, private equity, public offerings of debt and equity securities and joint ventures. The tax group also advises on executive compensation and share incentives. Antitrust: The London office has competition law capabilities at UK and European Community law level, with a particular emphasis on cartels, merger control, state aid and the antitrust aspects of joint ventures, distribution and agency agreements. Dispute Resolution and International Arbitration: The UK dispute resolution and international arbitration practice focuses on resolving complex matters in commercial litigation and international arbitration, with particular expertise in the fields of insurance and reinsurance, financial institutions and auditor liability. Its lawyers represent clients before arbitral tribunals as well the UK courts. They also have significant trial and appellate experience in the US federal and state courts. With one of the strongest litigation groups in the US, the office is strategically positioned in London to serve clients on large cross-border litigation disputes.
